1. Who We Are
Hashrights, Inc. ("Hashrights," "we," "us") provides a software platform that helps organizations manage partner collaboration workflows and reduce duplicate marketing/sales conflicts by enabling privacy-preserving matching.
2. Acceptance of These Terms
By accessing or using the Hashrights website, applications, APIs, or related services (collectively, the "Service"), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and these Terms apply to that organization.
3. Eligibility and Business Use
- The Service is intended for business use only and is not directed to minors.
- You must be at least 18 years old to use the Service.
- You may use the Service only for lawful purposes and in accordance with these Terms.
4. Accounts, Users, and Roles
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Owners and admins may invite additional team members and assign roles.
5. The Hashrights Workflow (Collections, Invites, Queries, Decisions)
The Service supports workflows such as creating collections, inviting partner organizations, allowing controlled query execution, and managing decisions on unmatched queries. The specific features available to you may depend on your account type and plan.
6. Customer Identifiers and Hashing
Hashrights is designed to perform matching using deterministic hashing with a server-side salt. This is intended to reduce the need to disclose raw customer lists between collaborating parties. However, you acknowledge that no security measure is perfect, and you remain responsible for how you choose to use the Service and what data you submit.
7. Your Content and Permissions
You retain ownership of the information you submit to the Service (including collection metadata and any customer identifiers you provide). You grant Hashrights a limited, non-exclusive, worldwide license to host, process, transmit, and display that information solely to provide, secure, and improve the Service, and to comply with legal obligations.
You represent and warrant that you have all rights and permissions necessary to submit your information to Hashrights and to use it for the purposes you select (including partner collaboration and rights verification workflows).
8. Acceptable Use
You agree not to:
- Attempt to reverse engineer, dehash, or otherwise derive underlying customer identifiers.
- Probe, scan, or test the vulnerability of the Service or circumvent access controls or quotas.
- Use the Service to violate applicable law, third-party rights, or contractual obligations.
- Interfere with or disrupt the Service, including by abusing invite/query workflows.
- Upload malware, exploit code, or content that is unlawful, harmful, or infringing.
9. Fees, Billing, Trials, and Taxes
Certain features require a paid plan. Trials may be offered for a limited period. If you purchase a paid plan, you agree to pay applicable fees, taxes, and other charges as described at checkout or in your billing page. Payments are processed through our payment processor (currently Stripe).
Partner accounts may be offered as a free tier. Entity plans and quotas govern query execution and other paid features.
10. Third-Party Services
The Service may rely on or integrate with third-party providers for hosting, authentication, payments, or email delivery (for example: Supabase, Vercel, Stripe, and Resend). Your use of third-party services may be subject to those third parties' terms and policies. Hashrights is not responsible for third-party products or services.
11. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you agree to our privacy practices.
12. Intellectual Property
Hashrights and its licensors own all rights, title, and interest in and to the Service, including its software, design, and content (excluding your content). You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted by these Terms.
13. Feedback
If you provide feedback or suggestions, you grant Hashrights a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate your feedback without restriction or obligation.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." HASHRIGHTS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HASHRIGHTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
16. Indemnification
You agree to indemnify and hold harmless Hashrights from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, your content, or your violation of these Terms.
17. Suspension and Termination
We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, if necessary to protect the Service or other users, or to comply with law. You may stop using the Service at any time. Some provisions of these Terms will survive termination.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after changes become effective means you accept the updated Terms.
19. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.
